These Terms of Service (this “Agreement”) is entered into by and between Typesafe AI, Inc. (“Typesafe”) and User (defined below). Typesafe and User are each a “Party” and, collectively, the “Parties.”

PLEASE READ THE FOLLOWING AGREEMENT CAREFULLY.

BY ACCEPTING THIS AGREEMENT, EITHER BY CLICKING A BOX INDICATING YOUR ACCEPTANCE, USING THE INTERFACES (DEFINED BELOW), OR OTHERWISE AFFIRMATIVELY INDICATING YOUR ACCEPTANCE OF THIS AGREEMENT, YOU: (A) AGREE TO THIS AGREEMENT ON BEHALF OF YOURSELF AS AN INDIVIDUAL, UNLESS YOU ARE USING THE INTERFACES ON BEHALF OF AN ORGANIZATION, COMPANY, OR OTHER LEGAL ENTITY, IN WHICH CASE YOU AGREE TO THIS AGREEMENT ON BEHALF OF SUCH ENTITY FOR WHICH YOU ACT (“USER”); AND (B) REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND USER TO THIS AGREEMENT. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THIS AGREEMENT, YOU MUST NOT ACCEPT THIS AGREEMENT AND YOU MAY NOT USE THE INTERFACES.

1.Access.

Subject to User’s compliance with this Agreement, User (and, if User is an entity, User’s employees and contractors) may access and use the (a) web-based interface(s) (the “Playground”) and (b) one or more application programming interfaces (“APIs”), in each case of (a) and (b), that Typesafe makes available to User, solely for the purpose of evaluating the Playground and APIs (collectively, the “Interfaces”) during the Term (defined below). User may not share its access credentials for the Interfaces (including any API keys) with any third party, or enable any person other than User’s employees or contractors (if applicable), to access the Interfaces. User will not, and will not attempt to: (i) use the Interfaces on behalf of, or to provide any product or service to, a third party; (ii) use any automated or programmatic means of interacting with the Playground; (iii) interact with the APIs other than in accordance with the applicable documentation provided by Typesafe; (iv) use the Interfaces or any Output (defined below) to perform model distillation, train a model to imitate the output of the Interfaces, or develop (or to facilitate the development of) a similar or competing product or service; (v) publish benchmarks or performance information about the Interfaces; (vi) use the Interfaces in a manner that violates any law; (vii) misuse, abuse, or circumvent any security features of, any Interface, or transmit any viruses or other harmful materials to or through the Interfaces; or (viii) decompile or reverse engineer any software included in or used to provide the Interfaces, or seek to access the source code of the Interfaces (except to the extent expressly permitted by applicable law). In addition, User will comply with any further restrictions relevant to the use of the Interfaces or Output that may be (y) set forth in Typesafe’s applicable documentation or (z) requested or required by a Typesafe third-party vendor or data provider, provided that, in the case of (z), Typesafe informs User of such restrictions (which requirement may be satisfied by email or a notification displayed in the Playground or other web-accessible portion of the Interfaces). User understands and acknowledges that User is receiving access to a preview version of the Interfaces and that the Interfaces may not be suitable for use in a production environment.

2.Term and Termination.

This Agreement commences upon acceptance and continues until the earlier of termination in accordance with this Section 2 (“Term”). Typesafe may suspend User’s access to and use of the Interfaces or terminate this Agreement, and all permissions or rights granted to User under this Agreement, in each case, immediately at any time for any reason. Sections 2 through 8 survive any such termination or expiration.

3.Feedback.

If User provides Typesafe with information and feedback regarding the features or performance of the Interfaces or errors or failures in the Interfaces, or ideas or suggestions for enhancements and improvements to the Interfaces (collectively, “Feedback”), then User hereby grants Typesafe an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right and license to exploit the Feedback in any manner and for any purpose, including to improve the Interfaces and to create other products and services.

4.Intellectual Property.

The Interfaces may enable Users to submit, or make available to Typesafe, prompts, data, instructions, and other input (“Input”) for the purpose of obtaining output generated by the Interfaces (“Output”). As between User and Typesafe, (a) User retains all right, title, and interest (including all intellectual property rights) in and to the Input; and (b) Typesafe retains all right, title and interest (including all intellectual property rights), in and to the Interfaces. User hereby grants Typesafe a non-exclusive, worldwide, royalty-free, fully paid, sublicensable, fully transferable, irrevocable license to use, process, transmit, store, analyze, aggregate, and otherwise exploit (collectively, “Process”) any information collected by or through the Interfaces or otherwise made available to Typesafe by User during the Term, including any Inputs, Outputs, and technical or usage logs: (i) to perform its obligations set forth in the Agreement; (ii) as necessary to comply with applicable laws; and (iii) to enforce Typesafe’s rights under this Agreement and to improve Typesafe’s products, services, and technology; provided, however, that (1) Typesafe will not train or fine tune any artificial intelligence or machine learning models on Input and (2) Typesafe will not disclose any Input or Output to a third party other than Typesafe’s service providers.

5.User’s Rights.

User represents and warrants to Typesafe that: (a) it has sufficient rights to grant the rights and licenses set forth herein and it has made all disclosures, provided all notices, and has obtained all rights, consents, and permissions necessary for Typesafe to Process Inputs without violating applicable laws, terms, or policies, and without infringing third-party rights, in each case that apply to the Inputs, and (b) the Inputs are not subject to any laws or regulations that could impose upon Typesafe any legal or regulatory compliance requirements or liability as a result of Typesafe’s possession or Processing of the Inputs in accordance with this Agreement. User shall ensure that all of User’s employees and contractors (if applicable) abide by the terms of this Agreement and any act or omission of an employee or contractor that, if undertaken by User, would be a breach of this Agreement shall be deemed a breach of this Agreement by User.

6.Disclaimer.

User understands and agrees that: (a) the Interfaces are provided without any warranties whatsoever; (b) the Interfaces are not designed for use in connection with business-critical infrastructure; (c) Typesafe may update the Interfaces from time to time without notice (including to add or remove features or functionality), and any such update may adversely affect the performance or availability of the Interfaces; (d) Typesafe may, but is under no obligation to, provide User with technical or other support in connection with User’s use of the Interfaces and does not guarantee the results of such support; (e) User may, in the course of accessing and using the Interfaces, encounter bugs or errors, any or all of which may remain unfixed during the Term; (f) the Interfaces may produce inaccurate or erroneous Outputs; and (g) that it is User’s sole responsibility to verify the accuracy of any information obtained from the Interfaces. User acknowledges that due to the nature of the Interfaces and artificial intelligence technologies generally, Output may not be unique and other users of the Interfaces may receive output from the Interfaces that is similar or identical to the Output (and, for the avoidance of doubt, such output will not be understood to be Output hereunder). THE INTERFACES AND ALL OUTPUT ARE PROVIDED “AS IS,” AND TYPESAFE HEREBY DISCLAIMS ALL WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. TYPESAFE DOES NOT GUARANTEE THAT USER’S ACCESS TO THE INTERFACES WILL BE UNINTERRUPTED.

7.Limitation of Liability.

UNDER NO CIRCUMSTANCES WILL TYPESAFE BE LIABLE TO USER UNDER OR IN CONNECTION WITH THE SUBJECT MATTER OF THIS AGREEMENT FOR (A) ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE, RELIANCE, OR SPECIAL DAMAGES, OR ANY DAMAGES RELATED TO LOSS OF DATA, OR (B) AGGREGATE TOTAL DAMAGES OR LIABILITY OF ANY KIND IN EXCESS OF $50 USD. THE FOREGOING LIMITATIONS APPLY WHETHER OR NOT TYPESAFE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, AND IRRESPECTIVE OF ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY HEREIN. The immediately foregoing sentence will apply to the maximum extent permissible under applicable law. User acknowledges that Typesafe’s ability to offer User access to the preview version of the Interfaces is based on these limitations, and that they represent a reasonable allocation of risk between User and Typesafe.

8.Miscellaneous.

This Agreement constitutes the entire agreement between User and Typesafe with respect to use of the preview version of the Interfaces. Any amendment or modification must be in writing and duly executed by both Parties. In the event that any portion of this Agreement is held unenforceable, the unenforceable portion will be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the Parties, and the rest of the Agreement will remain in full force and effect. Waiver of any breach or provision of this Agreement will not be construed as a waiver of any other breach or provision. All notices under this Agreement must be sent via email to: (a) for Typesafe, hello@typesafe.ai, and (b) for User, the email address associated with User’s account. Notices will be deemed given upon receipt. User shall not assign this Agreement or any of its rights or obligations under this Agreement without Typesafe’s prior written consent, and any such attempted assignment will be void and of no effect. A direct or indirect change of control of User will be deemed an assignment. Typesafe may assign this Agreement and all of its rights and obligations hereunder without limitation. This Agreement will bind the Parties’ respective heirs, successors, and permitted assigns. This Agreement is governed by California law, and the federal and state courts having jurisdiction over the City and County of San Francisco, California, have exclusive jurisdiction over all actions arising hereunder.
